Welcome to Reyou Consulting (an operating trade name of Reyou Mindfulness Collective). These Terms and Conditions govern your access to and use of our website (reyoumindfulness.com) and outline the general terms under which our strategic advisory, board governance, change architecture, and facilitation services are offered.
By accessing this website or engaging our services, you accept and agree to these terms in full. Please read them carefully.
1. General Overview & Services Offered
1.1 Advisory Services:
Reyou Consulting provides strategic planning, change architecture, board governance modernization, grant mapping, executive advisory, and workshop facilitation for non-profits, growth-stage enterprises, and community institutions.
1.2 Relationship to Service Agreements:
Website content and these Terms provide a general overview of our advisory scope. Formal client engagements, deliverables, timelines, fee structures, and customized cancellation or milestone schedules are governed by executed, project-specific Service Agreements or Statements of Work (SOWs) between Reyou Consulting and the client organization. In the event of any conflict between these Terms and an executed Service Agreement, the terms of the Service Agreement shall prevail.
2. Engagement, Scheduling, and Payments
2.1 Booking & Scheduling:
Engagements, workshops, strategic retreats, and advisory sessions are scheduled upon mutual written agreement. Session scheduling, milestone dates, and facilitation timelines are established within your custom proposal or contract.
2.2 Invoicing & Payments:
Payment schedules are outlined in your individual Service Agreement or Retainer Contract. Invoices are issued electronically and are payable upon receipt or according to the net payment terms specified in your agreement.
3. Service Modifications, Retainers, and Cancellations
3.1 Project-Based Services:
Cancellations, scope changes, or reschedulings of strategic retreats, workshops, or advisory phases must be provided in writing. Specific deposit retention, milestone billing, and cancellation policies are governed by your individual Service Agreement.
3.2 Monthly Advisory Retainers:
Fractional executive advisory retainers are billed on a predictable monthly basis as outlined in the client retainer contract. Unused advisory hours within a billing cycle do not roll over to subsequent months unless explicitly agreed upon in writing.
3.3 Custom Materials & Curricula:
All fees paid for customized organizational diagnostic tools, strategic roadmaps, and tailored workshop frameworks are non-refundable once work has commenced or deliverables have been rendered.
4. Professional Scope & Disclaimer
4.1 Strategic Advisory Standard:
Reyou Consulting delivers research-informed advice, high-level facilitation, and operational strategies based on expert frameworks. However, organizational execution, internal decision-making, staff performance, and strategic outcomes remain the ultimate responsibility of the client’s executive leadership and governing board. Advisory services are provided on an "as-is" strategic guidance basis.
4.2 Non-Clinical Disclaimer:
While our methodologies integrate evidence-backed workplace mindfulness, stress-reduction techniques, and trauma-aware facilitation to support workforce capacity, our services do not constitute medical, psychological, psychiatric, or clinical mental health treatment. Dr. Patlee Creary, Reyou Consulting, and Reyou Mindfulness Collective do not provide clinical therapy or crisis intervention services.
5. Intellectual Property
5.1 Proprietary Materials:
Unless otherwise noted in a specific Service Agreement, all materials, workshop frameworks, diagnostic systems, methodologies, and web content created or provided by Dr. Patlee Creary or Reyou Consulting remain the intellectual property of Reyou Mindfulness Collective and are protected under applicable copyright and intellectual property laws.
5.2 Client License:
Clients are granted a limited, non-exclusive, non-transferable internal license to utilize project deliverables, strategic roadmaps, and facilitation resources solely for the operational purposes of their organization. Content may not be resold, republished, or redistributed to third parties without prior written authorization.
6. Confidentiality & Privacy
6.1 Confidential Information:
Reyou Consulting maintains strict confidentiality regarding all proprietary organizational data, board discussions, financials, and personnel dynamics disclosed during an advisory engagement.
6.2 Data Protection:
We respect your privacy and are committed to protecting personal data collected through our website. Please review our Privacy Policy for detailed information on data storage and security practices.
7. Amendments to Terms
Reyou Consulting reserves the right to update or modify these Terms and Conditions at any time without prior notice. Any revisions become effective immediately upon posting to reyoumindfulness.com. Your continued use of the website or engagement of advisory services constitutes acceptance of the modified terms.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Winnipeg, Manitoba.
